Terms of Service

These Terms of Service ("Terms") are a binding agreement between Go Big Formula ("Go Big Formula," "we," "us," or "our"), a business operating in the State of Nevada, and the business that purchases or uses our services ("Customer," "you," or "your").

By purchasing, accessing, or using any Go Big Formula service, website, software, or AI system, you agree to these Terms. If you do not agree, do not use the services.

If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

Our Privacy Policy, available at gobigformula.com/privacy, is incorporated into these Terms.

Go Big Formula sells to businesses, not to consumers. You represent that you are at least 18 years old, that you are purchasing on behalf of a business, and that you will use the services for business purposes only. The services are not intended for personal, family, or household use.

"Services" means the Go Big Formula AI front office and everything we provide with it, including the AI Systems, the Customer Website, the GoHighLevel account, automations, configuration, management, and support.

"AI Systems" means the artificial intelligence assistants, voice agents, chat agents, prompts, instructions, training data, knowledge bases, workflows, integrations, and automations that Go Big Formula builds, configures, tunes, and operates.

"Customer Website" means the website Go Big Formula designs, builds, hosts, and maintains for you as part of the Services.

"Customer Content" means the business information, text, logos, images, videos, service descriptions, pricing, contact lists, and other materials you provide or authorize us to use.

"Customer Data" means the contact records, conversation transcripts, call recordings, lead information, appointment records, and other data generated in your account through use of the Services.

"End User" means any person who calls, texts, messages, or otherwise communicates with your business through the Services.

"Legacy Customer" means a Customer whose subscription began before August 14, 2026, as described in Section 31.

Go Big Formula provides a managed AI front office for local service and trade businesses. Depending on your plan, the Services may include:

Phone. An AI voice agent that answers incoming calls, gathers caller information, identifies what the caller needs, captures job details, and routes that information to you.

Website. A modern business website with an AI receptionist that answers visitor questions and collects contact information.

Social. AI-assisted responses to Facebook and Instagram messages and, where you authorize it, comments.

Reviews. Automated review requests, follow-up, and assistance responding to reviews you receive.

Business system. A dedicated GoHighLevel sub-account and platform access provided during the active subscription with CRM, conversations, automations, and website tools, plus the configuration and automations we build inside it.

The specific components active in your account depend on the plan you purchase and the integrations you authorize. We may add, change, improve, or discontinue individual features over time as described in Section 27.

Go Big Formula may build and present a free website mockup for a business before that business becomes a Customer.

No cost and no obligation

A free mockup requires no payment, no credit card, no contract, and no sales call. Receiving a mockup creates no obligation to purchase anything and no agreement between us other than this Section 5.

How we build it

We build mockups using information that is publicly available, including a business's existing website, Google Business Profile, Facebook business page, and similar public sources, together with our own design work, templates, stock or licensed media, and AI-generated content.

Ownership

A free mockup is and remains the property of Go Big Formula. It is a demonstration provided for evaluation. It is not the full Go Big Formula service, it is not delivered to you as a file or an asset, and no ownership, license, or right to use, copy, reproduce, or transfer it is granted unless and until you become a paying Customer. Becoming a paying Customer provides a limited right to use the Go Big Formula website and system during the active subscription. The Go Big Formula website structure, Sadie configuration, automations, and system remain Go Big Formula property unless a separate written migration or ownership agreement applies. You may not copy, scrape, replicate, or reuse a mockup, or provide it to another vendor to replicate.

Hosting and removal

We may host a mockup at a temporary Go Big Formula address for as long as we choose. We may modify, take down, or stop hosting any mockup at any time, for any reason, without notice. We are not obligated to preserve, archive, or restore any mockup.

Publicly sourced business information

If your business information appears in a mockup and you want it removed, email admin@gobigformula.com and we will remove it promptly. You do not need to explain why. Nothing in a mockup is intended to suggest affiliation with, endorsement by, or a relationship with your business.

Follow-up communications

If we build a mockup for your business, we may contact you about it and about Go Big Formula by email, phone, or message. You can opt out at any time by replying to any message, using the unsubscribe link, or emailing admin@gobigformula.com, and we will stop.

Every paying Customer begins with one month of Fully Managed service (the "Launch Month").

Fee

The Launch Month fee is $397. This is your first full month of Fully Managed service. It is not an additional or separate onboarding or setup fee.

What it covers

During the Launch Month we finish and launch your website, train the AI on your business, configure website AI and phone AI, connect social systems, configure review workflows, build automations, configure your CRM and business system, test everything, make adjustments, and manage the system through the first month. Normal business AI conversations, as described in Section 9, are included. You also receive a dedicated GoHighLevel sub-account and platform access provided during the active subscription. Adding Sadie or Go Big Formula tools to an existing website depends on that website supporting the necessary technical connection and access.

Timeline

The Launch Month begins on the date your $397 payment is processed. The 30-Day Satisfaction Guarantee period in Section 7 also begins on that same date. Launch timelines depend on your timely cooperation as described in Section 11. Delays caused by our inability to obtain information, access, approvals, or credentials from you do not extend the Launch Month or the guarantee period in Section 7. Customer cooperation is not a condition of obtaining a refund under the guarantee.

What happens after

Unless you cancel or select a different plan, your account continues on the Fully Managed AI Front Office plan described in Section 8.1 at $397 per month, billed monthly, beginning approximately thirty (30) days after your Launch Month begins. The Self-Managed plan described in Section 8.2 becomes available only after you complete your first month of Fully Managed service.

Your initial $397 Launch Month is covered by Go Big Formula's 30-Day Satisfaction Guarantee.

If you decide Go Big Formula is not right for your business, you may request a full refund of your initial $397 Launch Month payment by submitting a written request to admin@gobigformula.com.

To qualify, the request must be received:

(a) within thirty (30) calendar days after the initial Launch Month payment was processed; and

(b) before your second recurring monthly payment is processed.

If both conditions are satisfied, Go Big Formula will refund the full $397 Launch Month payment.

No requirement to prove dissatisfaction

The Customer is not required to prove that Go Big Formula breached these Terms or failed to perform the Services in order to use the guarantee. Go Big Formula may ask why the Customer is dissatisfied so that we can improve the Services, but providing an explanation is not a condition of receiving an otherwise eligible refund.

Effect of a refund

Once a refund is issued, the Customer's Go Big Formula subscription ends immediately unless otherwise agreed. The Customer Website and Go Big Formula AI Systems are deactivated. Sections 18 and 19 govern ownership, Customer Data, domain names, websites, AI Systems, automations, and other assets. Customer Data remains available for export for the period specified in Section 19.

Existing Customers upgrading

For a Legacy Customer upgrading under Section 31.3, an eligible Launch Month refund returns the Customer to the prior legacy plan and legacy rate rather than automatically cancelling the legacy subscription, unless the Customer separately requests cancellation.

One guarantee per Customer

The guarantee applies only once per Customer. It does not apply to renewal payments, Managed monthly payments, Self-Managed monthly payments, reactivations, subsequent Launch Months, or additional work separately approved and purchased outside the standard Launch Month.

This guarantee does not require Go Big Formula to refund separate purchases or charges that were clearly disclosed as separate from the $397 Launch Month, separately authorized by the Customer, and charged outside the standard $397 Launch Month. Except for the guarantee expressly stated above, fees are nonrefundable unless otherwise required by law.

Every new Customer begins with one month of Fully Managed service for $397, as described in Section 6. After the Launch Month, you continue on one of the following plans. The Self-Managed plan in Section 8.2 is available only after you complete your first month of Fully Managed service. All prices are in U.S. dollars, billed monthly in advance, and are introductory rates subject to change under Section 27.

8.1 Fully Managed AI Front Office — $397 per month

You run the business. We manage the AI and the website.

Includes:

• AI phone answering
• Website AI
• Facebook and Instagram systems
• Review requests, follow-up, and response assistance
• CRM and automations
• Dedicated GoHighLevel sub-account and platform access provided during the active subscription
• Unlimited normal business AI conversations, as defined in Section 9
• Ongoing AI training and tuning
• System monitoring
• Website updates and normal ongoing website development, as defined in Section 8.3
• Active management of the system by Go Big Formula

Managed is the standard continuation after the Launch Month.

8.2 Self-Managed — $147 per month

You manage the system. We're still here to help. Self-Managed is available only after you complete your first month of Fully Managed service under Section 6. It is not available as a starting plan for new Customers.

• Customer Website and hosting
• Website AI
• Facebook and Instagram tools
• Review tools
• CRM and automations
• Dedicated GoHighLevel sub-account and platform access provided during the active subscription
• $5.00 per month in included AI usage
• 24/7 platform technical support

Self-Managed does not include ongoing AI phone answering.

AI usage beyond the included $5.00 per month is billed at Go Big Formula's then-current published rate, available at gobigformula.com/unlimited-ai. Unused credit does not roll over.

If you ask Go Big Formula to perform website development, design changes, or system adjustments on a Self-Managed plan, that work is quoted and billed separately at our then-current rates and is not included in the monthly fee.

8.3 Normal Ongoing Website Development

On the Managed and Co-Managed plans, "website updates and normal ongoing website development" means routine changes of the kind a working local service business needs: content and copy edits, service page additions and changes, photo and gallery updates, contact and hours changes, seasonal or promotional updates, form and lead-capture adjustments, performance and mobile fixes, and similar work.

It does not include: building additional or separate websites, e-commerce or booking platforms not part of the standard build, custom software development, membership or course platforms, application development, integrations with systems we do not support, migration of third-party systems, brand or logo design, video production, or work requiring paid third-party licenses. We will tell you if a request falls outside normal ongoing development and quote it separately before doing the work.

We may decline or schedule requests that are unreasonable in volume or scope relative to the plan fee, and will discuss a fair approach with you before doing so.

Fully Managed includes up to one standard website or Sadie update request per week. One request may contain a reasonable group of related changes. Large projects, unrelated requests, custom development, or excessive volume may be scheduled separately or quoted before work begins.

8.4 Co-Managed — $397 per month

Co-Managed is available only to Legacy Customers who upgrade under Section 31.3. It is functionally equivalent to the Managed AI Front Office plan in Section 8.1, priced at $397 per month, and is governed by all provisions applicable to Managed, including the fair use terms in Section 9 and the website development scope in Section 8.3.

The Managed and Co-Managed plans include unlimited normal business AI conversations. "Normal business" means AI interactions generated by the ordinary flow of real prospects and customers contacting your business in your service area.

Fair use excludes, and we may throttle, suspend, or bill separately for:

• Automated, scripted, synthetic, robotic, or load-testing traffic
• Traffic generated by you, your employees, or your contractors for testing, demonstration, resale, or to inflate usage
• Spam, fraudulent, or malicious traffic, including toll fraud and traffic pumping
• Use of the AI Systems for a business, brand, location, or entity other than the one on your account
• Reselling, sublicensing, or providing AI capacity to third parties
• Bulk outbound calling, mass texting campaigns, or telemarketing that is not part of the standard configuration
• Usage that is grossly disproportionate to your business size, service area, and industry norms

If your usage materially exceeds fair use, we will contact you, explain what we are seeing, and work with you on a plan or rate that fits. We will not bill you for overage on the Managed or Co-Managed plans without notifying you first.

Authorization and auto-renewal

By providing a payment method, you authorize Go Big Formula and its payment processors to charge that method for the Launch Month fee, recurring monthly plan fees, and any approved additional charges. Plans are month-to-month and renew automatically each month at the then-current rate until cancelled.

Billing date

Recurring fees are billed in advance on the monthly anniversary of your Launch Month start date, or the closest available date in shorter months.

Communications surcharges and pass-through costs

Telephone numbers, call minutes, SMS and MMS messaging, messaging campaign registration, carrier fees, email sending, domain registration and renewal, AI usage on Self-Managed and Unmanaged plans, premium workflow actions, Agent Studio, specialized AI generation, outside AI models, and similar third-party or usage-based services may be charged separately in addition to the Customer's monthly plan fee. These services are billed at Go Big Formula's then-current published customer-facing rates, available at gobigformula.com/unlimited-ai or disclosed before the applicable service is activated.

Failed payments

If a payment fails, we may retry the charge, suspend the Services, and, after reasonable notice, terminate your account. You remain responsible for fees accrued before suspension or termination.

Taxes

Fees are exclusive of applicable taxes, which are your responsibility.

Cancellation

You may cancel at any time, effective at the end of your current paid month. To cancel, use the cancellation option in your account or email admin@gobigformula.com. Cancellation is available through the same medium in which you signed up and will not require you to sit through a retention call, chat with an agent, or complete steps more burdensome than signing up. We will confirm your cancellation in writing.

No partial-month refunds

Cancellation stops future billing. Except under Section 7, we do not refund fees for the current or prior months. You keep access through the end of the month you have paid for.

Chargebacks

If you dispute a charge, please contact us first. We will work with you. Initiating a chargeback without contacting us may result in immediate suspension.

The Services depend on your cooperation. You agree to:

• Provide accurate, complete, and current business information, and update it when it changes
• Provide the content, photos, service and pricing information, credentials, and platform access we need
• Review and approve website drafts, AI scripts, and configurations within a reasonable time
• Respond to leads and information the AI Systems deliver to you
• Maintain your own Google Business Profile, Facebook, Instagram, and other third-party accounts in good standing and in compliance with those platforms' terms
• Keep your login credentials secure and not share account access with unauthorized parties
• Comply with all laws applicable to your business, including licensing, advertising, telemarketing, recording, privacy, and consumer protection laws
• Promptly tell us if the AI Systems say anything inaccurate, inappropriate, or off-brand so we can correct it

You are responsible for all activity in your account.

The Services use artificial intelligence to interact with your prospects and customers by voice, text, and chat. You acknowledge and agree that:

Disclosure

Go Big Formula configures the AI Systems so that they do not claim to be human and will disclose that they are an AI assistant when asked. Several states require AI disclosure, and additional laws are being enacted. You agree not to instruct us, and not to configure the AI Systems yourself, to state or imply that an AI assistant is a human being. If your business or a service you offer is subject to occupational licensing or handles sensitive health, financial, biometric, or legal information, additional proactive disclosure obligations may apply, and you agree to tell us so we can configure the AI Systems accordingly.

AI can be wrong

AI systems can misunderstand callers, mishear names, numbers, or addresses, transcribe inaccurately, produce incorrect or incomplete information, fail to capture a lead, respond in an unintended way, or become unavailable. Go Big Formula tunes and monitors the AI Systems, but we do not warrant that the AI Systems will be accurate, error-free, complete, or uninterrupted, and we do not warrant that every call, message, or lead will be captured or handled correctly.

Not professional advice

The AI Systems do not provide legal, medical, financial, engineering, safety, code-compliance, or other professional advice. You are responsible for any quote, price, commitment, scheduling, or representation made through your account, whether by you, your staff, or an AI System acting on your behalf.

Pricing and commitments

If you authorize the AI Systems to quote prices, book appointments, or make commitments to End Users, you are responsible for honoring or correcting them. We recommend you configure the AI Systems to gather information and route it to a human rather than to make binding commitments, and we will advise you accordingly.

Human oversight

The AI Systems are designed to cover moments your team cannot. They are not a replacement for human judgment, and you agree to maintain reasonable human review of the leads, messages, and information the Services deliver.

Recording is part of the Services

The Services may record, transcribe, store, and analyze telephone calls, voicemails, chats, and messages in order to answer calls, capture job details, deliver information to you, train and improve the AI Systems for your account, and support and troubleshoot the Services.

State law varies

Some states require the consent of all parties to a call before it may be recorded. Others require only one party's consent. Your obligations depend on your location, the End User's location, and the nature of the call.

What we do

Go Big Formula configures the AI Systems to provide a recording and AI disclosure at the start of calls, and will configure all-party consent language where your service area requires it. You must tell us the states and areas in which you operate and market so we can configure this correctly.

What you must do

You are responsible for ensuring that recording and monitoring in your account complies with the laws that apply to your business. You agree not to disable, shorten, remove, or instruct us to remove recording or AI disclosures, and not to configure the Services to record calls without required notice or consent. If you instruct us to change or remove a disclosure, you do so at your own risk and you indemnify us under Section 26.

Your own recordings

If you or your staff separately record calls, that is your responsibility alone.

You are the sender. For all calls and messages placed or sent from your account — including review requests, follow-up texts, appointment reminders, and marketing messages — you are the caller and the sender of record under the Telephone Consumer Protection Act and related federal and state law. Go Big Formula provides the platform, configuration, and management. We do not supply, verify, or vouch for your contact lists or your consent records.

You represent and warrant that:

• You have obtained and can document the required consent from each person you contact, at the level of consent the message type requires
• You will honor opt-out, STOP, and unsubscribe requests immediately, and will not re-add anyone who has opted out
• You will comply with federal and state do-not-call lists, calling and texting time restrictions, quiet hours, and state telemarketing registration requirements
• You will not upload purchased, scraped, rented, or third-party lists to your account
• Your messages will identify your business and include required opt-out language
• You will comply with carrier requirements, including A2P 10DLC brand and campaign registration, and you will provide accurate registration information

Registration

Messaging through the Services requires carrier registration. Carriers may reject, throttle, filter, or block messages, may require additional information, and may impose fees. Go Big Formula will assist with registration but cannot guarantee approval, deliverability, throughput, or that carriers will not block your traffic.

Enforcement

We may suspend messaging or calling on your account immediately if we receive complaints, carrier notices, or evidence of non-compliant use.

Review requests and review management are part of the Services. Federal law prohibits fake, incentivized, and suppressed reviews, and violations carry significant penalties.

You agree that you will not use the Services to:

• Create, buy, sell, solicit, or publish fake or fabricated reviews
• Solicit reviews from people who are not genuine customers
• Offer money, discounts, gifts, or other compensation conditioned on leaving a review, or on leaving a positive review
• "Gate" reviews — that is, screen customers by expected sentiment and direct only satisfied customers to leave public reviews
• Suppress, hide, or discourage genuine negative reviews, or use legal threats or contract terms to do so
• Have owners, employees, family members, or related parties post reviews without clearly disclosing the relationship
• Misrepresent the source or independence of reviews

Go Big Formula configures review workflows to request reviews from all genuine customers, without gating or incentives. If you ask us to configure something that violates this section, we will decline. Violations of this Section 15 are grounds for immediate suspension or termination.

You remain responsible for the accuracy of any response posted in your name, whether drafted by you, our team, or an AI System.

To provide the social components, you will grant Go Big Formula access to your Facebook and Instagram business accounts and any other platforms you elect to connect. You represent that you have the authority to grant that access.

You remain the owner and operator of those accounts and remain bound by each platform's terms. Platforms may change their APIs, policies, permissions, or automation rules at any time, and may restrict or disable automated messaging. If a platform change makes a feature impossible, we will tell you and adapt where we can, but that change is not a breach of these Terms by us and is not grounds for a refund.

We will not use your social accounts for anything other than providing the Services.

The Services are built on and depend on third parties, including GoHighLevel, telecommunications carriers and voice providers, SMS aggregators, AI and large language model providers, email providers, domain registrars, hosting providers, payment processors, review platforms, and social media platforms.

You acknowledge that:

• Your use of those platforms is also subject to their own terms
• Those providers may experience outages, degrade, change pricing, change functionality, impose limits, or discontinue services
• Go Big Formula is not responsible or liable for the acts, omissions, outages, data practices, pricing changes, or termination of any third-party provider
• If a third-party change materially increases our costs or makes a feature unavailable, we may change the affected feature or pricing under Section 27

Your property

You retain all rights in Customer Content and Customer Data. You grant Go Big Formula a non-exclusive, worldwide, royalty-free license to host, copy, display, adapt, transmit, and use Customer Content and Customer Data solely to provide, support, secure, and improve the Services for you, and to train and tune the AI Systems for your account.

Our property

Go Big Formula retains all rights in the AI Systems, including all prompts, instructions, agent designs, knowledge-base structures, conversation flows, scripts, guardrails, automations, workflows, snapshots, triggers, integrations, templates, website frameworks and designs, code, methodologies, processes, training materials, and any improvements to any of them, together with the Go Big Formula name, marks, and the Sadie assistant. These are Go Big Formula's confidential and proprietary intellectual property.

License during the term

During your paid subscription, Go Big Formula grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the AI Systems and the Customer Website for your own business. That license ends when your subscription ends.

Restrictions

You may not copy, export, extract, reverse engineer, decompile, resell, sublicense, white-label, or transfer the AI Systems, prompts, automations, workflows, or snapshots, or use them to build or assist in building a competing product or service, or provide them to any third party.

Feedback

If you give us suggestions or feedback, we may use them without restriction or obligation to you.

Portfolio use

Unless you tell us otherwise in writing, we may identify you as a Customer and display the Customer Website, screenshots, and non-confidential results in our marketing and portfolio.

System Release and Migration

Nothing in the System Release and Migration provisions of Section 19 constitutes a sale or assignment of Go Big Formula's underlying proprietary intellectual property. A Customer paying a migration fee receives only the rights expressly identified in the applicable written migration agreement. Go Big Formula retains ownership of all proprietary and reusable components, including master AI prompts, system prompts, prompt frameworks, agent architecture, agent designs, reusable AI instructions, internal guardrails, master knowledge-base structures, reusable conversation flows, master scripts, Go Big Formula templates, master automation structures, snapshots, reusable workflows, reusable triggers, internal methodologies, operating procedures, internal training materials, and proprietary system architecture.

This section governs what you keep and what remains ours when your subscription ends for any reason.

Your domain

Your domain name is yours. On written request, Go Big Formula will transfer, release, or unlock your domain and provide the authorization code needed to move it to a registrar of your choice. We will do this promptly, provided your account is paid current. We will not hold a domain hostage.

Your data

Your Customer Data is yours. On request, we will provide a standard export of your contacts, conversation records, and CRM data. We will retain your data for thirty (30) days after termination so you can retrieve it, after which we may delete it. We are not obligated to preserve data beyond that period.

Your content

Customer Content you provided remains yours.

The website and systems remain ours

The Customer Website — including its design, build, structure, templates, and configuration — and the AI Systems, automations, workflows, and snapshots are and remain the property of Go Big Formula. They are provided as part of a subscription service, not sold to you. When your subscription ends, they are deactivated and your license to use them terminates.

Optional System Release and Migration

Cancelling the Services does not require payment of a migration fee. A Customer may cancel and retrieve Customer-owned Data, Content, and domain rights as otherwise provided in these Terms.

If, however, the Customer asks Go Big Formula to transfer, package, prepare, reproduce, migrate, or provide transition services for eligible portions of the Go Big Formula-created implementation so that another agency, provider, or GoHighLevel account can continue operating those components, the request constitutes a separate System Release and Migration service. The minimum System Release and Migration Fee is $5,000.

The $5,000 minimum covers only the scope expressly approved by Go Big Formula in writing. Complex migrations — including unusually complex transfers, significant custom work, multiple websites or accounts, rebuilding integrations, or other work exceeding normal migration scope — may require additional fees, which will be disclosed and approved before the additional work begins.

Go Big Formula is not required to transfer any component that contains or would expose Go Big Formula proprietary intellectual property; cannot reasonably be separated from proprietary systems; is restricted from transfer by a third-party provider; would violate third-party platform terms; cannot technically be transferred; would expose another Customer's information or configuration; or would enable copying, resale, white-labeling, or replication of Go Big Formula's proprietary AI Front Office system.

Payment of the System Release and Migration Fee does not transfer ownership of Go Big Formula intellectual property. Any transfer is limited to the Customer-specific components expressly identified in a separate written migration agreement. Unless otherwise agreed, transferred components are provided "AS IS" with no continuing warranty, management, maintenance, updating, AI tuning, support, or compatibility obligation after the migration is completed.

The Customer's Go Big Formula account and any separately approved charges must be paid current before migration work begins. The migration fee itself must be paid before Go Big Formula is required to begin migration work unless Go Big Formula agrees otherwise in writing.

Telephone numbers

Where the underlying carrier permits porting, we will cooperate in good faith with a port-out request for a number used on your account, provided your account is paid current. Some numbers cannot be ported, and porting is subject to carrier rules and timelines outside our control.

Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information with at least reasonable care, to use it only to perform under these Terms, and not to disclose it to third parties except to employees, contractors, and service providers who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.

Go Big Formula processes Customer Data on your behalf as a service provider. Our collection and use of information is described in our Privacy Policy at gobigformula.com/privacy, which is incorporated into these Terms.

You are responsible for having a lawful basis to collect and process the information of your prospects and customers, for maintaining your own privacy policy where required, and for responding to any privacy rights request an End User makes to you. We will reasonably assist you with such requests.

We implement reasonable administrative, technical, and physical safeguards. No system is perfectly secure, and we do not guarantee that Customer Data will never be accessed, disclosed, altered, or destroyed by unauthorized means.

We do not sell Customer Data. We do not use your Customer Data to train general-purpose AI models, and we do not use one Customer's data to train AI Systems operating for another Customer.

You may not use the Services to:

• Violate any law or regulation, or infringe anyone's rights
• Send spam, phishing, or fraudulent communications
• Harass, threaten, defame, or abuse anyone
• Impersonate any person or entity, or misrepresent your affiliation
• Represent an AI assistant as a human being
• Upload malware or attempt to gain unauthorized access to any system
• Interfere with, disrupt, overload, or circumvent limits on the Services
• Scrape, crawl, or use automated means to extract data from the Services
• Operate a business you are not licensed or authorized to operate
• Market or sell illegal goods or services, or operate in an industry prohibited by our providers or payment processors
• Resell, rebrand, or provide the Services to third parties without our written agreement

Go Big Formula does not guarantee any specific result. We do not guarantee leads, calls, appointments, jobs, customers, revenue, review counts, ratings, search rankings, response times, or return on investment. Any figures, examples, case studies, or projections we share are illustrative and are not promises. Results depend on your market, your pricing, your capacity, your responsiveness, your reputation, competition, seasonality, and many factors outside our control.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT AI OUTPUTS WILL BE ACCURATE OR APPROPRIATE, THAT EVERY CALL OR MESSAGE WILL BE ANSWERED OR CAPTURED, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GO BIG FORMULA AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OR MISSED LEADS OR CUSTOMERS, LOST DATA, LOST GOODWILL, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID GO BIG FORMULA FOR THE SERVICES DURING THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

You agree to defend, indemnify, and hold harmless Go Big Formula and its owners, employees, and contractors from any claim, demand, investigation, penalty, loss, liability, damage, or expense, including reasonable attorneys' fees, arising out of or relating to:

• Your Customer Content, Customer Data, contact lists, or the accuracy of your business information
• Your violation of these Terms or any law
• Claims under the Telephone Consumer Protection Act, state telemarketing or do-not-call laws, or state call recording or wiretapping laws, arising from calls, messages, or recordings made through your account
• Consent you represented you had but did not have
• Your instruction to modify or remove any AI, recording, or consent disclosure
• Reviews solicited, posted, or responded to through your account
• Your products, services, workmanship, quotes, pricing, licensing, warranties, or dealings with your customers
• Your violation of any third-party platform's terms

Services

We may modify, add, or discontinue features. We will not materially reduce the core functionality of your plan during a paid month without notice.

Terms

We may update these Terms. We will post the updated version with a new "Last Updated" date and, for material changes, notify you by email or in-account notice at least thirty (30) days in advance. Continuing to use the Services after the effective date means you accept the updated Terms. If you do not accept them, your remedy is to cancel under Section 10.

Pricing

Current rates are introductory and may change. We will give you at least thirty (30) days' written notice before any increase to your recurring plan fee. The new rate applies to billing periods beginning after the notice period. If you do not accept an increase, you may cancel before it takes effect. Legacy rates are protected as described in Section 31.2.

Third-party and usage-based rates are not recurring plan fees. These rates may change when the applicable outside provider changes its pricing, taxes, carrier fees, regulatory fees, or service costs. Go Big Formula will publish the current customer-facing rates at gobigformula.com/unlimited-ai. The rate in effect when the applicable service is used will apply.

By you

You may cancel at any time under Section 10.

By us for cause

We may suspend or terminate immediately, with notice where practicable, if you fail to pay, violate Sections 13, 14, 15, or 22, create legal or security risk for us or our providers, or if a provider or carrier requires it.

By us for convenience

We may terminate your subscription for convenience on thirty (30) days' written notice. If we do, we will refund any prepaid, unused portion of your current month.

Effect

Section 19 governs what happens to your domain, data, website, and systems. Sections 18, 19, 20, 21, and 23 through 31 survive termination.

Please read this section carefully. It affects your legal rights.

Informal resolution first

Before starting arbitration, you agree to contact us at admin@gobigformula.com and describe the dispute. We will try in good faith to resolve it within thirty (30) days.

Binding arbitration

Any dispute arising out of or relating to these Terms or the Services that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Washoe County, Nevada, or by videoconference at the arbitrator's discretion. The arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver

YOU AND GO BIG FORMULA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class proceeding.

Exceptions

Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

Opt-out

You may opt out of this arbitration agreement by emailing admin@gobigformula.com within thirty (30) days of first accepting these Terms, stating your business name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Governing law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. Where litigation is permitted, the exclusive venue is the state and federal courts located in Washoe County, Nevada, and you consent to personal jurisdiction there.

Entire agreement

These Terms, our Privacy Policy, and any written order form or plan documents are the entire agreement between us and supersede all prior agreements and understandings, including any prior version of these Terms.

Independent contractors

The parties are independent contractors. Nothing creates a partnership, joint venture, employment, or agency relationship.

Assignment

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Accounts are not transferable except as we approve in writing.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, utility or internet failures, carrier or platform outages, government action, or third-party provider failures.

Severability

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions stay in effect.

Waiver

Failure to enforce any provision is not a waiver of it.

Notices

We may give notice by email to the address on your account or by in-account notice. Notices to us must be sent to admin@gobigformula.com. A mailing address will be provided on request for any notice that requires physical delivery.

Contact

These Terms replace all prior Go Big Formula terms of service, including the version last updated February 14, 2024, as of August 14, 2026.

31.1 Application

If you became a Customer before August 14, 2026, these Terms apply to your account beginning thirty (30) days after we notify you, or on the date you affirmatively accept them, whichever is earlier. Sections 19 (Termination — Domain, Website, and Data) and 26 (Indemnification) apply to your account only upon your affirmative acceptance of these Terms; until then, the corresponding provisions of your prior agreement continue to govern.

31.2 Legacy pricing is protected

Your existing monthly rate is honored for as long as your subscription remains continuously active, notwithstanding the rates in Section 8. We will not increase your legacy rate, and accepting these Terms does not change what you pay. If your subscription lapses or is cancelled, reactivation is at then-current rates.

31.3 Upgrading to the AI front office

Legacy Customers may upgrade to the current Go Big Formula AI front office at any time. An upgrade requires:

(a) The Launch Month fee of $397. This covers the same work described in Section 6 — finishing and launching your website, training the AI on your business, configuring website AI and phone AI, connecting social systems, configuring review workflows, building automations, configuring your CRM and business system, testing, adjustment, and management through the first month. It is your entire service price for that month, not an additional fee on top of your ongoing rate.

(b) A choice of ongoing plan after the Launch Month:

Unmanaged (legacy rate). You continue at your existing legacy monthly rate and operate the system yourself. This tier includes the Customer Website, hosting, website AI, Facebook and Instagram tools, review tools, CRM, automations, and a dedicated GoHighLevel sub-account and platform access provided during the active subscription, on the same terms as Section 8.2. AI usage is billed as described in Section 8.2. Website development and system adjustments you request from Go Big Formula are quoted and billed separately. Ongoing AI phone answering is not included.

Co-Managed — $397 per month. Go Big Formula takes over operation of the systems provided, on the terms set out in Sections 8.1 and 8.4.

31.4 Effect of upgrading

A Customer who upgrades under Section 31.3 is subject to these Terms in full from the date the Launch Month begins, including Sections 19 and 26, regardless of Section 31.1.

31.5 Guarantee

The 30-Day Satisfaction Guarantee in Section 7 applies to an eligible $397 upgrade Launch Month beginning on or after August 14, 2026, including upgrade Launch Months under Section 31.3. It does not apply retroactively to fees already paid under a prior agreement. An eligible refund returns that Legacy Customer to their previous active legacy plan and rate unless they also request cancellation.

31.6 Declining

If you do not wish to accept these Terms, you may cancel under Section 10 without penalty, and we will refund any month billed after the notice date.
